1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your use of the Neutral Axis Forum website and services. By accessing or using our site or engaging our services, you agree to be bound by these Terms and our Privacy Policy.

2. Changes to Terms

We may update these Terms from time to time. Material changes will be posted here with an updated effective date. Your continued use constitutes acceptance of the revised Terms.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our services. If you use our services on behalf of an organization, you represent that you have authority to bind that organization.

4. Website use

• Do not misuse the site, attempt unauthorized access, or disrupt functionality.
• Do not post or transmit content that is unlawful, infringing, or harmful.
• Use any tools (e.g., pricing simulator) for informational purposes only; results are estimates, not binding quotes.

5. Bookings, fees, and payments

• Quotes specify scope, deliverables, usage rights (if applicable), fees, and timelines.
• A non‑refundable deposit of 30–50% may be required to secure a date; balance is typically due before delivery unless otherwise agreed in writing.
• Fees exclude taxes unless stated. Client is responsible for permits, location fees, and other third‑party costs unless agreed otherwise.
• Overtime, additional retouching, extra images, rush delivery, or scope changes are billed at our current rates and require approval.

6. Cancellations and rescheduling

• Client cancellations after a booking is confirmed forfeit the deposit. If cancellation occurs within 7 days of the shoot, up to 100% of the fee may be due to cover reserved resources and lost opportunity.
• We will work in good faith to reschedule due to weather, illness, or other reasonable causes. Rescheduling may incur fees for venue, travel, or third parties.
• If we must cancel for reasons within our control, we will offer to reschedule or provide a refund of amounts paid for the canceled portion.

7. Deliverables and approvals

• Proofs or previews are for selection only and not for final use unless expressly licensed.
• Unless otherwise stated, basic color and tone adjustments are included; advanced retouching may be billed separately.
• Client agrees to review and provide approvals or consolidated feedback within the timeframe specified in the quote.

8. Intellectual Property

• Unless otherwise agreed in writing, we retain copyright in all images we create. Upon full payment, we grant you the license described in your quote (e.g., personal use or specified commercial scope).
• Any use outside the licensed scope requires prior written permission and may incur additional licensing fees.
• You may not resell, sublicense, or make images available to stock libraries without our permission.

9. Client responsibilities

• Obtain necessary permissions for locations and subjects where applicable.
• Ensure key participants are present and prepared at scheduled times.
• Provide accurate information, timely feedback, and a single point of contact for approvals.

10. Third‑party services

Our site may link to third‑party websites or tools (e.g., social media, analytics). We do not control or endorse third‑party content and are not responsible for their policies or practices.

11. Warranties and disclaimers

Services are provided with reasonable skill and care. Except as expressly stated, the website and services are provided “as is” and “as available” without warranties of any kind, whether express or implied (including merchantability, fitness for a particular purpose, and non‑infringement). Estimates from calculators or tools are illustrative only.

12. Limitation of liability

To the maximum extent permitted by law, Neutral Axis Forum shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to these Terms or your use of our site or services. Our total liability for any claim shall not exceed the amounts you paid to us for the service giving rise to the claim.

13. Indemnity

You agree to defend, indemnify, and hold harmless Neutral Axis Forum from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the site or services, breach of these Terms, or violation of any law or third‑party right.

14. Force majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including acts of God, extreme weather, war, strikes, epidemics, or governmental actions.

15. Governing law and venue

These Terms are governed by the laws of England and Wales. Courts of England and Wales shall have exclusive jurisdiction, subject to applicable consumer protections.

16. Miscellaneous

• Severability: If any provision is found invalid, the remainder remains in effect.
• No waiver: Failure to enforce a provision is not a waiver of that provision.
• Entire agreement: These Terms and any referenced documents constitute the entire agreement regarding the subject matter.
